Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Crystal Peak website at crystalpeak.dev (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Crystal Peak (“we,” “us,” or “our”) reserves the right to update these Terms at any time. Changes take effect when posted. Continued use of the Site after changes constitutes acceptance of the revised Terms.

2. Services Overview

Crystal Peak is an AI-native product studio that provides software design, engineering, and venture services. Our service engagements include:

• Prototype — Discovery, architecture, and a clickable prototype delivered as a fixed-fee engagement.
• Active Development — Ongoing monthly design, engineering, and deployment of production software.
• Maintenance & Support — Bug fixes, security patches, and minor changes on a monthly basis.

The Site provides information about our services and allows you to contact us. Actual service engagements are governed by a separate Statement of Work (“SOW”) executed between Crystal Peak and each client.

3. Statement of Work

All service engagements are governed by an individually negotiated SOW that both parties sign before work begins. The SOW defines scope, pricing, payment terms, intellectual property rights, confidentiality obligations, warranties, and termination provisions specific to your engagement. In the event of a conflict between these Terms and a signed SOW, the SOW controls with respect to the services covered by that SOW.

4. Pricing and Payment

Service pricing is published on our Pricing page and reflects current standard rates. Actual pricing for your engagement is set in your SOW and may vary based on scope, equity arrangements, or other negotiated terms.

Payment is processed through Stripe. Prototype engagements require a deposit upon execution of the SOW, with the balance due on delivery. Ongoing engagements are billed monthly. All fees are in US dollars and are non-refundable except as expressly stated in your SOW.

5. Equity Arrangements

Some engagements include an equity component where the client grants Crystal Peak a percentage of equity in exchange for reduced monthly rates. The terms, vesting schedule, and protections for any equity arrangement are defined entirely within the applicable SOW and its exhibits. Nothing on the Site constitutes an offer or solicitation of securities.

6. Intellectual Property

Client Work Product

Custom work product created for a client under a SOW is owned by that client, subject to the terms of the SOW.

Crystal Peak Tools

Crystal Peak retains all rights to its pre-existing tools, frameworks, libraries, and methodologies. Where Crystal Peak tools are incorporated into client deliverables, we grant a perpetual, royalty-free license as described in the applicable SOW.

Site Content

All content on the Site, including text, graphics, logos, and software, is the property of Crystal Peak or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

7. Use of the Site

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law.
• Attempt to interfere with, compromise, or disrupt the Site or its underlying infrastructure.
• Scrape, crawl, or use automated tools to access the Site in a manner that places an unreasonable burden on our systems.
• Impersonate any person or entity or misrepresent your affiliation.

8. Chat Feature

The Site includes a chat feature that allows you to communicate with us. Messages you send through the chat may be reviewed by our team to respond to inquiries and improve our services. Do not submit sensitive personal information, passwords, or financial account numbers through the chat. Use of the chat feature is subject to our Privacy Policy.

9. Warranties and Disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Warranties related to our professional services are provided exclusively in the applicable SOW.

10. Limitation of Liability

To the fullest extent permitted by law, Crystal Peak shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, regardless of the theory of liability. Our total liability for any claim arising from the Site shall not exceed one hundred US dollars ($100). Limitations of liability related to our professional services are governed by the applicable SOW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Crystal Peak and its partners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms. Indemnification obligations related to service engagements are governed by the applicable SOW.

12. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Crystal Peak. We are not responsible for the content, privacy policies, or practices of any third-party sites.

13. Termination

We may restrict or terminate your access to the Site at any time, for any reason, without notice. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW, constitute the entire agreement between you and Crystal Peak regarding the Site.
